M&A advice and execution – We advise companies and their shareholders and other stakeholders in sell-side and buy-side engagements as well as mergers of equals. We identify the best potential acquisition targets, potential acquirers, or merger partners, and execute focused processes to maximize value and strategic advantage for our clients.
Financings and capital-raising – We advise companies on their financing needs to minimize their cost of capital, meet cash flow requirements, and source funding for growth initiatives. We identify the best sources of debt and equity capital to match the needs of our clients, and execute focused processes to achieve optimal results.
Balance sheet restructurings – When companies face very significant financial challenges, companies and their shareholders and creditors can often maximize value and minimize risk by consummating a range of balance sheet restructurings. We analyze our client’s situation thoroughly, advise on the optimal capital structure, and execute a range of transactions – including amend-and-extend transactions, debt-for-debt and debt-for-equity exchanges, shareholder recapitalizations and other new money transactions, asset sales, or a combination thereof – consummated either out-of-court or via an insolvency proceeding, to maximize value and permit the company to continue as a going concern on the strongest possible financial footing.
Business and securities valuations – Valuation is fundamental to many business objectives, including for estate planning, share transfers pursuant to buy/sell and shareholder agreements, option valuations, management compensation arrangements, collateral appraisals, M&A decision-making and exit planning, tax reporting, litigation support, and shareholder disputes. We take a cost-effective approach and provide expert valuation reports that will withstand intense professional, judicial and regulatory scrutiny.

Interim executive and financial management – Whether as a result of growth, staff changes, or other transitions, companies often lack senior executive and financial expertise to meet their emerging or critical needs. We provide expert executive and financial management on an interim basis while the client conducts a search for its full-time chief executive officer, chief financial officer or financial manager. We also can provide a chief restructuring officer on an interim basis to help companies navigate complex operational and financial challenges.
Performance improvement – We evaluate a client’s business processes and identify areas for improvement across a wide range of operational and financial areas. We recommend and, as requested, implement solutions to increase sales and profitability and reduce risk. This may include, among others:
- Developing management tools to increase management insight into the business and improve priorities and capital spending. Examples include key performance indicators, management dashboards, post-completion and lessons-learned analyses, and profitability and risk analyses
- Restructuring sales and marketing strategies to increase market share and margins
- Revising management compensation to align it with company interests
- Improving working capital management to increase cash, shorten the cash cycle, and reduce slow moving or obsolete inventory
- Upgrading the company’s internal financial analysis to better evaluate capital investment decisions
- Enhancing management reporting, transparency and accountability for the benefit of the board of directors and shareholders
Upon request we can also assist management and ownership in evaluating specific business decisions, such as assessing the ROI of investment alternatives.
Litigation support – Litigation often requires companies to analyze or consider a range of commercial and financial issues outside the normal course of business, and make related decisions. These needs may include formulating answers to complex commercial questions that underpin issues in the litigation, valuing individual products or business lines, calculating damages estimates, evaluating litigation budgets, incorporating litigation into a client’s overall financial planning and strategy, performing cost-benefit analyses of settlement scenarios, and assessing the commercial and financial upside and downside of different judgment scenarios. We advise clients on these matters and provide rigorous, clear analyses to support the litigation effort and the company’s overall strategy.

Sponsored strategic transactions – As our client’s trusted advisor, we are sometimes in a position to recognize value and opportunity where others cannot. Examples may include a client’s need to fund growth, execute an acquisition or strategic partnership, fund new R&D or a capital investment, or meet other critical cash flow requirements. In such cases, we may partner with our client and sponsor a strategic transaction, investing our own capital or co-investing with management, shareholders or other investors, to meet the company’s needs and achieve its strategic objectives.
